User Agreement

Effective Date: April 15th, 2026

This User Agreement (“Agreement”) governs your access to and use of Faxoc (“we”, “our”, “us”), a platform providing Execution Risk Ratings Intelligence. By accessing or using Faxoc, you agree to these terms.

By accessing or using Faxoc, you acknowledge that you have read, understood, and agree to this Agreement and our Privacy Policy.

1. Use of the Platform :

Faxoc provides intelligence to evaluate execution risk and generate Risk Confidence Reports based on input data and modeled signals.

You agree to use the platform:

  • For lawful and professional purposes
  • In good faith and with accurate information
  • In accordance with this Agreement and applicable laws
2. Nature of the Service :

Faxoc provides probabilistic execution risk insights based on modeled signals. These outputs are informational and do not guarantee outcomes. Users should not rely solely on these insights for decision-making. Faxoc provides analytical insights and probabilistic evaluations of execution risk.

  • Outputs are informational, not guarantees or predictions of outcomes
  • Users are responsible for interpreting and applying insights
  • Faxoc does not replace professional judgment or decision-making
3. Signal-Based Talent Identification :

When a mandate is created, Faxoc may identify and surface relevant profiles or signals derived from aggregated and anonymized datasets, including a proprietary talent graph, to support execution risk evaluation and contextual alignment.

Such outputs are generated algorithmically and are intended to assist in analysis, not to represent direct endorsements, recommendations, or verified candidate intent.

Faxoc does not represent that any individual has applied, expressed interest, or consented to be considered for a specific mandate unless explicitly indicated through the originating system or customer workflow.

4. Instant Execution Risk Analysis on Existing Data :

Analysis is performed on datasets provided or integrated by the customer and does not imply candidate availability, interest, or engagement.

5. User Responsibilities :

You agree that:

  • Information provided is accurate and relevant
  • You have the right to share any data submitted
  • You will not misuse, manipulate, or attempt to reverse-engineer the platform
6. Prohibited Use :

You may not:

  • Misrepresent identity or organizational context
  • Submit false, misleading, or harmful data
  • Attempt unauthorized access, scraping, or system exploitation
  • Use the platform for illegal or harmful activities
7. Data and Privacy :

Your use of Faxoc is also governed by our Privacy Policy.

  • We process data to generate execution risk insights
  • We do not sell personal data
  • Aggregated and anonymized data may be used to improve the system
8. Data Responsibility and Third-Party Data :

Users and customers represent and warrant that they have the necessary rights, legal basis, and permissions to provide any data submitted to Faxoc, including data related to candidates or third parties.

Faxoc processes such data solely for the purpose of generating execution risk insights and does not independently verify the origin, accuracy, or consent associated with such data.

Faxoc shall not be responsible for any claims arising from data submitted by users without proper authorization or legal basis.

9. Data Processing and Integration :

In cases where Faxoc is integrated with third-party systems such as Applicant Tracking Systems (ATS) or similar platforms, data processed by Faxoc may originate from such systems based on actions performed within those platforms.

In such scenarios, the customer or integrating organization acts as the data controller, and Faxoc processes data solely on their behalf for the purpose of generating execution risk insights.

10. Intellectual Property :

All content, models, outputs, and platform components are owned by Faxoc.

You may:

  • Use outputs for internal decision-making

You may not:

  • Copy, reproduce, or distribute the platform or its underlying models
  • Reverse-engineer or attempt to extract proprietary logic
11. Availability of Service :

We aim to provide reliable access but do not guarantee:

  • Continuous availability
  • Error-free performance

We may modify, suspend, or discontinue features at any time.

12. Limitation of Liability :

To the maximum extent permitted by law:

  • Faxoc is not liable for decisions made based on platform outputs
  • We are not responsible for indirect, incidental, or consequential damages
  • Use of the platform is at your own risk
13. Termination :

We may suspend or terminate access if:

  • This Agreement is violated
  • There is misuse or risk to system integrity
14. Updates to Terms :

We may update this Agreement periodically. Continued use of Faxoc constitutes acceptance of updated terms.

15. Governing Law :

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

10. Talent Graph Usage :

Faxoc may use aggregated and anonymized datasets, including a proprietary talent graph, to identify patterns and contextual signals relevant to execution risk.

This process does not involve publicly exposing personal data or representing individual intent without appropriate context or source attribution.

11. Individual Rights :

If you believe your information has been processed through a third-party submission, you may request access, correction, or deletion of your data by contacting us at legal@faxoc.com

12. Data Usage Clarification :

Data may be aggregated and anonymized to improve execution risk modeling and system performance.

13. Data Retention + Deletion :

Faxoc will delete or anonymize personal data upon verified request, unless retention is required for legal or operational purposes.

14 Data Processing Role :

Depending on the use case, Faxoc may act as a data processor on behalf of customers who submit data to the platform.

16. Third-Party Services :

Data Processing Addendum (“DPA”)

Effective Date: April 15th 2026

This Data Processing Addendum (“DPA”) forms part of the agreement between Faxoc, Inc.

(“Processor”) and the customer (“Controller”) and governs the processing of personal data in connection with Faxoc services.

1. Roles and Scope :
  • The Controller determines the purposes and means of processing personal data.
  • Faxoc acts as a Data Processor, processing personal data solely on behalf of the Controller.

This DPA applies where Faxoc processes personal data through:

  • platform usage
  • API integrations (including ATS systems)
  • mandate-related inputs
2. Nature and Purpose of Processing :

Faxoc processes personal data for the purpose of:

  • Generating Execution Risk Reports and Risk Confidence Ratings
  • Evaluating mandate–operator alignment
  • Modeling execution risk signals and contextual patterns

Processing may include:

  • collection (via integrations or inputs)
  • structuring and analysis
  • storage and retrieval
3. Types of Data and Data Subjects :

Types of Data

  • Professional information (e.g., role, experience, context-related inputs)
  • Contact data (e.g., work email, if provided)
  • Any data submitted via customer systems

Data Subjects

  • Individuals included in customer-provided datasets
  • Candidates or professionals referenced in mandate-related inputs
4. Processor Obligations :

Faxoc shall:

  • Process personal data only on documented instructions from the Controller
  • Implement appropriate technical and organizational security measures
  • Ensure that access to data is restricted to authorized personnel
  • Not sell personal data

Faxoc does not independently verify>/b> the legality or origin of data provided by the Controller.

5. Controller Obligations :

The Controller agrees to:

  • Ensure a valid legal basis for processing personal data
  • Provide required notices and consents to data subjects
  • Comply with applicable data protection laws

The Controller is solely responsible for the accuracy and legality of data submitted to Faxoc.

6. Subprocessors :

Faxoc may use trusted subprocessors (e.g., cloud infrastructure providers) to support service delivery.

  • Faxoc ensures such subprocessors are bound by appropriate data protection obligations
  • A list of subprocessors may be provided upon request
7. Data Subject Rights :

Faxoc will, to the extent reasonably possible:

  • Assist the Controller in responding to requests for access, correction, or deletion
  • Provide reasonable support for compliance with applicable laws

8. Data Security :

  • Delete or anonymize personal data upon request from the Controller, unless retention is required by law
10. International Data Transfers :

Data may be processed in the United States or other jurisdictions where Faxoc or its subprocessors operate.

Faxoc takes reasonable steps to ensure appropriate safeguards for such transfers.

11. No Automated Decision-Making :

Faxoc provides analytical insights and does not make automated decisions that produce legal or similarly significant effects on individuals.

12. Liability :

Each party’s liability under this DPA is subject to the limitations set forth in the main User Agreement.

13. Termination :
Upon termination of services:
  • Faxoc will delete or return personal data as instructed by the Controller, unless required to retain it by law
14. Governing Law :

This DPA shall be governed by the laws of the State of State of Delaware, United States..

Community Guidelines

The following are not allowed:

7. Enforcement :

Faxoc reserves the right to:

  • Restrict or suspend access for violations
  • Remove or disregard inputs that compromise system integrity
  • Take necessary action to protect the platform and its users
8. Updates :

These guidelines may be updated periodically. Continued use of the platform implies acceptance of the latest version.
